ทั้งสองฝ่ายตกลงทำสัญญากิจการร่วมค้า มีสาระสำคัญดังต่อไปนี้
ข้อที่ 1. ทั้งสองฝ่ายตกลงที่จะลงทุนร่วมกัน เพื่อนำสินค้าเป็นน้ำตาลทราย และ/หรือ ผลิตภัณฑ์จากอ้อยหรือน้ำตาล เพื่อจำหน่ายให้แก่ลูกค้า ทั้งในประเทศไทยและต่างประเทศ โดยตกลงแบ่งผลประโยชน์หรือผลกำไรกันฝ่ายละครึ่ง และชำระภาษีในส่วนของตน
ข้อที่ 2. ฝ่ายที่ 1 มีหน้าที่จัดหาตลาดผู้ซื้อน้ำตาล และทำการตลาด ทั้งในประเทศไทยและต่างประเทศ ให้ลูกค้าเป็นคู่สัญญาเข้าทำสัญญาซื้อขายกับฝ่ายที่ 1. หรือฝ่ายที่2. หรือทั้งสองฝ่าย โดยอาศัยโควตาน้ำตาลหรือที่ฝ่ายที่ 1.ดำเนินการจัดหา
ข้อที่ 3. ฝ่ายที่ 2 เป็นผู้ร่วมลงทุน โดยสนับสนุนทางการเงิน การธนาคาร ด้วยกระบวนการและวิธีการทางธนาคารแก่ฝ่ายที่ 1. เพื่อให้ฝ่ายที่ 1.ได้สินค้าและนำออกจำหน่าย แก่ลูกค้าได้
และมีหน้าที่จัดหาตลาดผู้ซื้อน้ำตาล และทำการตลาด ทั้งในประเทศไทยและต่างประเทศ ให้ลูกค้าเป็นคู่สัญญาเข้าทำสัญญาซื้อขายกับฝ่ายที่ 1. หรือฝ่ายที่2. หรือทั้งสองฝ่าย
และ/หรือ ร่วมกับฝ่ายที่ 1. เข้าทำสัญญาใดๆ หรือเข้าเป็นหุ้นส่วน หรือจัดตั้งบริษัท หรือห้างหุ้นส่วนใหม่ กับบุคคลอื่น
