สัญญานี้ถูกทำขึ้นระหว่างมูลนิธิ Social Welfare Society“SWS”โดยนาย HusniHammadประธานมูลนิธิ Social Welfare Societyซึ่งต่อจากนี้จะเรียกว่า “ผู้ให้สัญญา” ฝ่ายหนึ่ง และบริษัท Marmara Co.,Ltd. โดยนาย UfukCivelekกรรมการผู้มีอำนาจกระทำการแทน สำนักงานตั้งอยู่เลขที่41/18 ซอยเทิดไท 33ริมคลองบางสาคี แขวงบางอ้อ เขตจอมทอง กรุงเทพมหานคร หนังสือรับรองบริษัทเลขที่0105540047965 ออกโดยนายทะเบียนหุ้นส่วนและบริษัท ณ.สำนักงานกรุงเทพมหานคร ซึ่งต่อไปในสัญญานี้จะเรียกว่า “ผู้รับสัญญา”อีกฝ่ายหนึ่ง

ข.ผู้ให้สัญญาและ/หรือสถานศึกษาในเครือของผู้ให้สัญญาเป็นเจ้าของชื่อสถานศึกษา เครื่องหมายสถานศึกษาและเครื่องหมายอื่นใด ทั้งนี้ ไม่ว่าจะอยู่ในภาษา ลักษณะ วิธีการเขียน การแสดงออก การสื่อความเข้าใจหรือการนำเสนอในรูปแบบและวิธีการอย่างใด ๆ รวมถึงชื่อสถานศึกษาหรือเครื่องหมายอื่น ๆ ของผู้ให้สัญญา หรือสถานศึกษาในเครือของผู้ให้สัญญาที่ได้นำมาใช้เกี่ยวเนื่องกับสถานศึกษาของผู้ให้สัญญา (ตามความหมายที่จะได้นิยมต่อไป) ทั้งนี้ไม่ว่าจะได้ จะจดทะเบียนไว้ในประเทศไทยหรือต่างประเทศหรือไม่
ค.ผู้ให้สัญญาและ/หรือสถานศึกษาในเครือของผู้ให้สัญญาเป็นเจ้าของลิขสิทธิ์และสิทธิอื่น ๆ ภายใต้ชื่อสถานศึกษา Pan –Asia International School
ง. ผู้ให้สัญญาและ/หรือสถานศึกษาในเครือของผู้ให้สัญญาได้สร้างชื่อเสียงและค่าความนิยม(Goodwill) ในชื่อสถานศึกษามาแล้วทั่วโลก และผู้รับสัญญาประสงค์จะใช้ประโยชน์จากชื่อเสียงและคุณค่าความนิยมของสถานศึกษาPan –Asia International School
จ. ผู้รับสัญญาประสงค์จะรับอนุญาตจากผู้ให้สัญญา เพื่อดำเนินกิจการสถานศึกษาPan –Asia International Schoolโดยใช้มาตรฐานตามหลักสูตรอเมริกันโปรแกรมประกาศนียบัตรชั้นสูง IBตามระยะเวลาและเงื่อนไขที่กำหนดไว้ในสัญญา
ผู้ให้สัญญาและผู้รับสัญญาได้พิจารณาข้อกำหนดต่าง ๆ ของสัญญาและเข้าใจอย่างชัดแจ้งว่า ข้อกำหนดแต่ละข้อในสัญญานี้มีความเป็นธรรมและสมเหตุสมผล และผู้รับสัญญาได้ทำสัญญานี้โดยได้รับคำแนะนำทางกฎหมายและทราบถึงข้อกำหนดแต่ละข้อของสัญญาอย่างครบถ้วนบริบูรณ์ จึงได้ตกลงกัน ดังต่อไปนี้
ข้อ 1.คำนิยาม
นอกจากจะมีความหมายเป็นอย่างอื่นอย่างชัดแจ้ง คำ หรือข้อความต่อไปนี้มีความหมายดังนี้
สถานศึกษาหมายถึง Pan –Asia International School
สัญญา หมายถึง สัญญาอนุญาตดำเนินการสถานศึกษาฉบับนี้ ระเบียบปฏิบัติของสถานศึกษาและเอกสารแนบท้ายใด ๆ ของสัญญา
สถานที่ตั้ง/สถานศึกษา หมายถึง ที่ตั้งของสถานศึกษา Pan –Asia International School ตามสัญญาข้อ2.
ข้อ 2.การอนุญาต

2.2 ผู้รับสัญญาตกลงเริ่มดำเนินกิจการสถานศึกษาภายในวันที่ 1 เมษายน 2556โดยผู้ให้สัญญาตกลงไม่ขอคิดค่าธรรมเนียมกับผู้รับสัญญาตั้งแต่วันที่ ๑ เมษายน ๒๕๕๖ ถึงวันที่ ๓๑ สิงหาคม ๒๕๕๘
2.3 ผู้รับสัญญาตกลงชำระค่าธรรมเนียมที่เรียกคืนไม่ได้ (ค่าเช่า) สำหรับการอนุญาตให้ดำเนินกิจการสถานศึกษา (Pan –Asia International School) แก่ผู้ให้สัญญา ตามสัญญานี้โดยจะชำระตามเงื่อนไขดังนี้
ก. ชำระค่าธรรมเนียมตั้งแต่วันที่ 1 กันยายน 2558ถึงวันที่ 31 สิงหาคม 2561 โดยผู้รับสัญญาตกลงชำระภายในวันที่ ....ของทุกเดือน ในอัตราเดือนละ600,000 บาท ข.ชำระค่าธรรมเนียมตั้งแต่วันที่ 1 กันยายน 2561 ถึงวันที่ 31 สิงหาคม 2566 โดยผู้รับสัญญาตกลงชำระภายในวันที่... ของทุกเดือน ในอัตราเดือนละ 800,000 บาท ค.ชำระค่าธรรมเนียมตั้งแต่วันที่ 1กันยายน 2566 ถึงวันที่ 31 สิงหาคม 2571 โดยผู้รับสัญญาตกลงชำระภายในวันที ... ของทุกเดือน ในอัตราเดือนละ 1,000,000 บาท ง.ชำระค่าธรรมเนียมตั้งแต่วันที่ 1กันยายน 2571 ถึงวันที่ 31 สิงหาคม 2576 โดยผู้รับสัญญาตกลงชำระภายในวันที่ ... ของทุกเดือน ในอัตราเดือนละ 1,200,000 บาท

2.7ผู้รับสัญญาจะดูแลรักษาอาคารหรือสิ่งปลูกสร้างของผู้ให้สัญญาให้อยู่ในสภาพที่ดี สะอาด เรียบร้อย อย่างเช่นวิญญูชนจะพึงปฏิบัติในการรักษาทรัพย์สินของตน ด้วยค่าใช้จ่ายของตนเอง
