ประวัติศาสตร์กฎหมายเป็นวิชาที่เราควรเรียนรู้ไว้ เพราะการเรียนประวัติศาสตร์ของกฎหมายจะช่วยให้เราเข้าใจกฎหมายได้ดีขึ้น เพราะในการบัญญัติกฎหมาย ผู้บัญญัติกฎหมายย่อมบัญญัติขึ้นเพื่อนแก้ไขสถานการณ์อย่างใดอย่างหนึ่งหรือเพื่อนส่งเสริมสิ่งใดสิ่งหนึ่งถ้าได้มีการศึกษาประวัติศาสตร์กฎหมายด้วยความตั้งใจจริงแล้ว ก็จะเห็นเจตนารมณ์ของกฎหมายที่ออกใช้บังคับในสมัยนั้นๆดีว่ามีวัตถุประสงค์อย่างไร

มีคำกล่าวภาษาลาตินบทหนึ่งกล่าวไว้ดังนี้ "Ubi societas, ibi jus" ซึ่งมีความหมายว่า "ที่ไหนมีสังคม ที่นั่นมีกฎหมาย" กล่าวคือ เมื่อมนุษย์มาอยู่รวมกันเป็นหมู่คณะในลักษณะที่ถาวร ก็จะต้องมีกฎเกณฑ์ที่ถือปฏิบัติกันในสังคมนั้นๆ เพื่อให้มนุษย์สามารถอยู่ด้วยกันได้อย่างปกติสุข กฎเกณฑ์ดังกล่าวนี้ มีทั้งกฎเกณฑ์ที่เป็นลายลักษณ์อักษร และกฎเกณฑ์ที่ไม่เป็นลายลักษณ์อักษร ซึ่งต่างก็มีลักษณะบังคับให้คนในสังคมนั้นๆ ต้องปฏิบัติตาม

ในสังคมระยะแรกเริ่มนั้น กฎเกณฑ์ที่มีอยู่ไม่สลับซับซ้อนดังเช่นสังคมปัจจุบัน การควบคุมความประพฤติของคนในสังคมจะอาศัยขนบธรรมเนียมปรเพณี ซึ่งรู้จักกันโดยทั่วไป เป็นกฎเกณฑ์ง่ายๆ ที่เกิดขึ้นมาจากเหตุผลธรรมดาตามสามัญสำนึกของชาวบ้าน เป็นความรู้สึกผิดชอบชั่วดีที่มีอยู่ในมนุษย์ กฎหมายก็คือ กฎเกณฑ์ทางศีลธรรม และจารีตประเพณีของชุมชนนั้นๆ

ต่อมาเมื่อสภาพสังคมเปลี่ยนไป จารีตประเพณีเดิม ย่อมไม่เพียงพอที่จะช่วยแก้ปัญหาที่สลับซับซ้อน จึงจำเป็นที่ต้องมีกฎหมายลายลักษณ์อักษรออกมา เพื่อแก้ปัญหาเป็นเรื่องๆ ไป มีการใช้เหตุผลชั่งตรอง เพื่อชี้ขาดข้อพิพาท เกิดเป็นหลักกฎหมายต่างๆ มีกระบวนการบัญญัติกฎหมายที่เป็นกิจจะลักษณะ ฉะนั้น กฎหมายที่ใช้บังคับอยู่ในสังคมสมัยใหม่ จึงมีทั้งกฎหมายที่เป็นลายลักษณ์อักษร และกฎหมายที่ปรากฎอยู่ในรูปของจารีตประเพณี
ประวัติศาสตร์กฎหมาย หมายถึง วิวัฒนาการของแนวคิด หลักเกณฑ์ความประพฤติ และกฎเกณฑ์ต่างๆที่มนุษย์ได้ก่อตั้งขึ้นเพื่อใช้ในการรักษาความสงบเรียบร้อยของสังคม หลักเกณฑ์ต่างๆเหล่านี้จะต้องแปลความตามเวลาและสถานการณ์ในขณะนั้น
