ทำที่ บริษัท ซากุระ ออโต้พาร์ทส์ (ประเทศไทย) จำกัด
41/4 หมู่ 8 ตำบลบ่อวิน อำเภอศรีราชา จังหวัดชลบุรี

สัญญาฉบับนี้ทำขึ้นเมื่อวันที่ .......มิถุนายน 2557 ระหว่าง บริษัท บริษัท ซากุระ ออโต้พาร์ทส์ (ประเทศไทย) จำกัด โดย นายคิโยทากะ ยามาเบะ กรรมการผู้มีอำนาจ สำนักงานตั้งอยู่ที่ 41/4 หมู่ 8 ตำบลบ่อวิน อำเภอศรีราชา จังหวัดชลบุรี ซึ่งต่อไปในสัญญานี้เรียกว่า "ผู้ให้สัญญา" ฝ่ายหนึ่ง
กับ บริษัท บริษัท ซากุระ อินดัสทรี้ (ประเทศไทย) จำกัด โดย นายคิโยทากะ ยามาเบะ กรรมการผู้มีอำนาจ สำนักงานตั้งอยู่ที่ 41/4 หมู่ 8 ตำบลบ่อวิน อำเภอศรีราชา จังหวัดชลบุรี ซึ่งต่อไปในสัญญานี้เรียกว่า "ผู้รับสัญญา" อีกฝ่ายหนึ่ง

โดยที่ผู้ให้สัญญาเป็นผู้ประกอบกิจการ ผลิตชิ้นส่วนและอุปกรณ์ของเครื่องจักรกล ที่ใช้กับรถยนต์ รถจักรยานยนต์และยานพาหนะ ตลอดจนธุรกิจอื่นใดที่เกี่ยวข้องและสัมพันธ์กันตามที่ได้รับอนุญาตจากทางราชการประสงค์จะจ้างผู้รับสัญญาบริหารกิจการและผู้รับสัญญาตกลงรับจ้างบริหารกิจการดังกล่าว

ทั้งสองฝ่ายจึงตกลงทำสัญญาฉบับนี้ขึ้นดังมีข้อความต่อไปนี้
ข้อ 1. กิจการ
1.1 ที่ตั้งของกิจการ
กิจการตั้งอยู่ที่ 41/26 หมู่ 8 ตำบลบ่อวิน อำเภอศรีราชา จังหวัดชลบุรี
1.2 ลักษณะกิจการ
กิจการของผู้ให้สัญญาเป็นกิจการ ผลิตชิ้นส่วนและอุปกรณ์ของเครื่องจักรกล ที่ใช้กับรถยนต์ รถจักรยานยนต์และยานพาหนะ ตามหนังสืออนุญาตให้ใช้ที่ดินและประกอบกิจการในนิคมอุตสาหกรรมจาก การนิคมอุตสาหกรรมแห่งประเทศไทย (กนอ.01/2 ที่ 520/2556) และ..................

ข้อ 2. ผู้ให้สัญญาตกลงให้สิทธิ ผู้รับสัญญา เข้าทำการบริหารจัดการกิจการ และให้มีอำนาจในการแต่งตั้ง โยกย้าย ควบคุมบังคับบัญชาเจ้าหน้าที่ทุกระดับชั้นในกิจการของผู้ให้สัญญา เพื่อบริหารจัดการงานให้เป็นไปตามขอบเขตของงาน เงื่อนไขระยะเวลาวิธีการดำเนินงานและผลตอบแทนที่ระบุไว้ในสัญญาฉบับนี้ ทั้งนี้ผู้รับสัญญาจะไม่ดำเนินธุรกิจอื่นใดที่มีผลประโยชน์ขัดกันกับกิจการของผู้ให้สัญญา


ข้อ 4. ขอบเขตของงาน......../

ข้อ 3. สัญญานี้มีผลใช้บังคับทันทีนับแต่วันที่ลงในสัญญานี้ จนถึงวันที่ 31 ธันวาคม 2557

ข้อ 4. ขอบเขตของงานที่ว่าจ้างบริหาร
4.1 การทำและจัดการด้านบัญชี
รวบรวมเอกสารทางบัญชีและจัดทำบัญชี เช่น บัญชีเจ้าหนี้ บัญชีลูกหนี้ การรับเงิน การจ่ายเงิน การหักภาษี ณ ที่จ่าย คำนวณภาษี หัก ณ ที่จ่าย ภงด.3 ภงด.53 ภ.พ.30 งบดุล งบกำไรขาดทุน ประจำเดือน/ประจำปี
4.2 การจัดการงานด้านบุคคล
1) การสรรหาบุคลากร รวมถึงการจ่ายค่าตอบแทนและสวัสดิการ
2) การฝึกอบรมพัฒนา ทรัพยากรบุคคล
3) ติดต่อประสานงานกับส่วนงานราชการที่เกี่ยวข้องเพื่อให้เป็นไปตามกฎหมาย
การจัดซื้อจัดหาวัตถุดิบในการผลิต และอุปกรณ์สำนักงาน
1) บริหารจัดการในด้าน การจัดซื้อจัดหา วัสดุอุปกรณ์
2) บริหารจัดการในด้าน การเบิกใช้งาน การดูแลการจัดเก็บ วัสดุ อุปกรณ์
การวางแผนการผลิต
1) บริหารจัดการในด้าน การวางแผนการผลิต รวมถึงการผลิตให้ได้ตามแผนที่วางไว้ให้กับลูกค้าของผู้ให้สัญญา
2) บริหารจัดการในด้าน การส่งมอบงานให้กับลูกค้าของผู้ให้สัญญา
4.3 การตรวจสอบคุณภาพผลิตภัณฑ์
1) กำกับดูแลให้การตรวจสอบคุณภาพเป็นไปตามแผนการตรวจสอบคุณภาพ
2) ตรวจเช็คคุณภาพสินค้าหลังการผลิต ให้เป็นไปตามข้อกำหนด
3) ตรวจปล่อยชิ้นงาน / ผลิตภัณฑ์ ที่เป็นไปตามข้อกำหนด
4.4 การซ่อมแซม และบำรุงรักษาเครื่องจักร
1) บริหารจัดการ ระบบงานบำรุงรักษาให้ดำเนินไปอย่างต่อเนื่อง และ มีประสิทธิภาพสูงสุด
2) ดำเนินการซ่อม บำรุงรักษา เครื่องจักร ในกระบวนการผลิต ปรับปรุงสายการผลิต ด้านประสิทธิภาพการผลิต ดำเนินการวางแผน ควบคุม ซ่อมบำรุงระบบสาธารณูปโภค ในกระบวนการผลิต




ข้อ 5. คณะผู้บริหารและจัดการกิจการ…../

ข้อ 5. คณะผู้บริหารและจัดการกิจการของผู้รับสัญญา
5.1 ผู้รับสัญญาจะต้องจัดหาบุคลากรที่เกี่ยวข้องในการบริหารจัดการงานตามข้อ 4 และเป็นผู้รับผิดชอบในการจ่ายค่าจ้างรวมถึงสวัสดิการต่างๆเองทั้งสิ้น
(ค่าจ้าง สวัสดิการของบุคลากรที่เป็นลูกจ้างของผู้ให้สัญญา ผู้ให้สัญญาเป็นผู้รับผิดชอบทั้งสิ้น)
5.2 ผู้รับสัญญาจะต้องจัดหาเครื่องมือ อุปกรณ์ วัสดุที่เกี่ยวข้องในการปฏิบัติงานของบุคลากรตามข้อ 5.1 เองทั้งสิ้น
ข้อ 6. ค่าจ้างของการรับจ้างบริหารกิจการ
ผู้ให้สัญญาตกลงชำระค่าจ้างตอบแทนการรับจ้างบริหารกิจการให้แก่ผู้รับสัญญาดังนี้
6.1 การทำและจัดการด้านบัญชี เป็นเงินเดือนละ 63,803 บาท
6.2 การจัดการงานด้านบุคคล, การจัดซื้อ จัดหาวัตถุดิบในการผลิต และอุปกรณ์ สำนักงาน, การวางแผนการผลิต เป็นเงินเดือนละ 207,181 บาท
6.3 การตรวจสอบคุณภาพผลิตภัณฑ์ เป็นเงินเดือนละ 165,773 บาท
6.4 การซ่อมแซม และบำรุงรักษาเครื่องจักร เป็นเงินเดือนละ 138,777 บาท
การจ่ายเงินค่าจ้างตามข้อนี้ ผู้ให้สัญญาตกลงว่าจะรวบรวมและจ่ายให้แก่ผู้รับสัญญาภายในเดือนธันวาคมของทุกปี
การปรับเพิ่มเงินค่าจ้างตามข้อนี้ ให้ผู้รับสัญญาสามารถขอปรับเพิ่มได้ปีละไม่เกิน 1 ครั้ง โดยต้องได้รับความเห็นชอบจากผู้ให้สัญญา

ข้อ 7. การโอนสิทธิและหน้าที่ตามสัญญา
คู่สัญญาฝ่ายใดฝ่ายหนึ่งไม่มีสิทธิโอนสิทธิและหน้าที่ตามสัญญานี้โดยปราศจากความยินยอมเป็นลายลักษณ์อักษรจากคู่สัญญาอีกฝ่ายหนึ่ง

ข้อ 8. ข้อตกลงของสัญญาถือเป็นความลับ
ให้ถือว่าสัญญาฉบับนี้เป็นความลับระหว่างคู่สัญญาตลอดระยะเวลาของสัญญา คู่สัญญาตกลงจะไม่เปิดเผยสัญญาหรือข้อความส่วนใดส่วนหนึ่งของสัญญาต่อบุคคลอื่นใดโดยไม่ได้รับอนุญาตเป็นลายลักษณ์อักษรจากคู่สัญญาอีกฝ่ายหนึ่ง
ถ้าส่วนใดส่วนหนึ่งของสัญญานี้เป็นโมฆะหรือไม่สมบูรณ์ คู่สัญญาตกลงให้ถือว่าส่วนอื่นๆ ของสัญญาที่สมบูรณ์แยกจากส่วนที่เป็นโมฆะหรือไม่สมบูรณ์นั้น และมีผลใชับังคับได้
