2.5 ตัวแทนจำหน่าย จะไม่จำหน่ายผลิตภัณฑ์นอกตลาดไม่ว่าโดยทางตรงหรือทางอ้อม โดยไม่ได้รับความยินยอมจาก บริษัท ก่อน

ข้อ 3. การกำหนดราคาขาย
ตัวแทนจำหน่าย มีสิทธิที่จะกำหนดราคาขายผลิตภัณฑ์ของตนให้แก่ลูกค้าได้โดยอิสระแต่ต้องไม่ต่ำกว่าราคาขายขั้นต่ำที่บริษัทกำหนด คือ 850 บาท (THB)

ข้อ 4. การส่งมอบ
ผลิตภัณฑ์จะถูกนำไปส่งมอบให้ ณ คลังสินค้าของ บริษัท โดย หากเกิดการสูญหาย เสียหาย หรือไม่ครบจำนวน ตัวแทนจำหน่าย ต้องแจ้งเป็นลายลักษณ์อักษรให้ บริษัท ทราบถึงเหตุนั้นๆ ภายใน 3 วันนับจากวันที่ส่งมอบ หากพ้นกำหนดนี้ บริษัท จะไม่รับผิดชอบในความเสียหายดังกล่าว

ข้อ 5. การชำระเงิน
5.1 การชำระเงินจะใช้เงินบาทที่แจ้งในใบส่งสินค้าเต็มจำนวน โดยไม่มีการหักค่าบริการธนาคาร
5.2 ในการสั่งสินค้า ตัวแทนจำหน่ายจะต้องวางมัดจำ 50% ของมูลค่าสินค้า และชำระส่วนที่เหลือเป็นเงินสด เมื่อบริษัทส่งสินค้าให้ครบถ้วนแล้ว

ข้อ 6. สิทธิในทรัพย์สิน
ตัวแทนจำหน่าย ยอมรับว่าบริษัท เป็นเจ้าของลิขสิทธิ์ในผลิตภัณฑ์ ครอบคลุมไปถึงสิทธิบัตร เครื่องหมายการค้า ชื่อทางการค้า และข้อมูลทางการค้าอื่นของผลิตภัณฑ์ โดย ตัวแทนจำหน่าย ตกลงและยอมรับว่า จะไม่ใช้หรือไม่ยอมให้ผู้อื่นใช้เครื่องหมายการค้า ชื่อทางการค้า และข้อมูลทางการค้าของผลิตภัณฑ์ กระทำใด ๆ อันมีลักษณะที่จะเป็นผลเสียต่อธุรกิจการค้า ซึ่ง บริษัท ประกอบกิจการอยู่ตามสัญญาฉบับนี้ หรือต่อธุรกิจและชื่อเสียงของ บริษัท โดยตัวแทนจำหน่าย จะต้องแจ้งให้ บริษัท ทราบด้วยทุกครั้ง หากมีเหตุการณ์ดังกล่าวเกิดขึ้น

ข้อ 7. คู่แข่ง
ระหว่างที่สัญญาฉบับนี้ยังมีผลบังคับอยู่ ตัวแทนจำหน่ายหรือบริษัทอื่น ๆ ที่ผู้ถือหุ้นของ ตัวแทนจำหน่าย หรือ ผู้บริหารของ ตัวแทนจำหน่าย เข้าไปถือหุ้นหรือบริหารอยู่จะไม่จำหน่ายผลิตภัณฑ์อื่น และส่งเสริมการขายผลิตภัณฑ์อื่น อันมีลักษณะคล้ายคลึงกัน หรือเป็นคู่แข่งกับผลิตภัณฑ์ ไม่ว่าโดยตรงหรือโดยอ้อม ยกเว้นจะได้รับความยินยอมจาก บริษัท ก่อน

ข้อ 8. ข้อกำหนดของสัญญาและการสิ้นสุดสัญญา
8.1 สัญญาฉบับนี้มีผลบังคับตั้งแต่วันที่ในสัญญาและจะมีผลบังคับถึงวันที่ ………………………………..

8.3 ข้อความใดในสัญญาฉบับนี้ ถ้าคู่สัญญาฝ่ายหนึ่งกระทำการฝ่าฝืนอย่างสำคัญในเงื่อนไขใด ๆ ของสัญญานี้ และไม่อาจเยียวยาแก้ไขให้ถูกต้องได้ภายในระยะเวลา 60 วันนับจากได้รับแจ้งเป็นลายลักษณ์อักษรจากคู่สัญญาอีกฝ่ายหนึ่งให้แก้ไขข้อผิดพลาดนั้น คู่สัญญาอีกฝ่ายหนึ่งมีสิทธิบอกเลิกสัญญาได้ ทั้งนี้ การบอกเลิกดังกล่าวมิได้ถือเป็นการลบล้างสิทธิและความรับผิดที่คู่สัญญาแต่ละฝ่ายยังมีอยู่ ณ วันยกเลิกสัญญานี้
