มาตรฐานสากลด้านการกำกับดูแลกิจการที

มาตรฐานสากลด้านการกำกับดูแลกิจการที่เป็นมาตรฐานสากล ซึ่งใช้เป็นบรรทัดฐานในหลายประเทศรวมทั้งประเทศไทยด้วย คือ OECD Principles of Corporate Governance โดย OECD Principles ประกอบด้วย 5 ประเด็น ดังนี้

● สิทธิของผู้ถือหุ้น

● การปฏิบัติต่อผู้ถือหุ้นอย่างเป็นธรรม

● บทบาทของผู้มีส่วนได้เสีย

● การเปิดเผยข้อมูลที่โปร่งใส

● ความรับผิดชอบของกรรมการ

ในส่วนของประเทศไทย ได้กำหนดข้อบัญญัติต่างๆ ในกฎหมายและกฎเกณฑ์ รวมทั้งการจัดทำคู่มือและแนวปฏิบัติต่างๆ ที่สอดคล้องกับหลักการของ OECD
